Industrial Alliance Files an Amended and Restated Prospectus Supplement for the Offering of Subordinated Debentures

Industrial Alliance Insurance and Financial Services Inc. ("Industrial Alliance" or the "Company") announces that it intends to file an amended and restated prospectus supplement for its previously announced offering of $200 million principal amount of 4.75 per cent fixed/floating subordinated debentures due December 14, 2021. Under the amended and restated prospectus supplement, the size of the offering is increased by $50 million to $250 million principal amount of 4.75 per cent fixed/floating subordinated debentures due December 14, 2021 (the "Debentures").

Proceeds of the offering will be used for general corporate purposes, including the funding of potential future acquisitions, and will be added to the Company’s capital base. On a pro forma basis, after giving effect to the Debentures issue, the Company estimates that, as at September 30, 2011, its solvency ratio would increase by 17 percentage points to 214%.

The Debentures will mature on December 14, 2021 and will bear interest at a fixed annual rate of 4.75% for the first five years, payable semi-annually, and a variable annual rate equal to the 3-month Canadian Dollar Offered Rate (CDOR) plus 3.20% for the last five years, payable quarterly. Subject to prior regulatory approval, Industrial Alliance may redeem the Debentures, in whole or in part, on or after December 14, 2016. The Debentures have been rated "A" with a stable trend by DBRS Limited and "A" by Standard & Poor’s. The offering is expected to close on December 14, 2011, as previously announced.

The offering is being done on a best efforts agency basis by a syndicate of dealers co-led by RBC Capital Markets and TD Securities and consisting of BMO Capital Markets, Scotia Capital, CIBC World Markets, National Bank Financial, Casgrain & Company and Industrial Alliance Securities. 

The offering is made under the short form base shelf prospectus dated April 29, 2011, which provides for the issue of up to $1 billion principal amount of securities.
